Advertising Terms and Conditions

1. These terms and conditions are subject to change without prior notice.



2. By using Loadboy's Self-Service Ads, the Advertiser warrants that it has the full right, power, and authority to enter into this Agreement and to make all of the grants, promises, and covenants herein contained.



3. The Advertiser is solely responsible for any legal liability arising out of or relating to
   1. the Advertisement
   2. any claims or misrepresentations made via the Advertisement, and/or
   3. any material to which users can link through the Advertisement.


4. The Advertiser represents and warrants that:
   1. the material provided to, or used in conjuction with Loadboy's Self-Service Ads is original, copyrighted material belonging to the Advertiser, or that the Advertiser has obtained any and all rights, permissions and licenses necessary to use the material on www.Loadboy.com;
   2. the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights, title or interests of any third party, including, but not limited to, copyright (whether in text, image, software code or music), patent, trademark, trade secret, or any other proprietary or property right; and
   3. that the Advertisement will not contain material that includes false advertisements, unfair competition, defamatory material, invasions of privacy or rights of celebrity, or violations of any anti-discrimination law or regulation.


5. All advertising material is subject to approval by Loadboy, who
   1. reserves the right to edit, revise, or reject any advertising and
   2. shall be the sole and final arbitrator of whether or not any advertising material is appropriate for inclusion on www.Loadboy.com and
   3. reserves the right to discontinue advertisements for any reasonable grounds, solely at our own discretion.


6. The Advertiser understands that advertising space is subject to limited availability and on a first-come first-served basis. Once all available advertising slots are filled, further advertisements are queued until the next slot becomes available.



7. Page views are defined as anytime an advertisement is displayed to a visitor of our web site.



8. Loadboy.com will make every reasonable effort to display the advertisements on the start date if applicable. However, the advertiser understands that by the nature of online advertising, the advertising campaign's exact start and end dates and the rate of daily impressions delivered may vary due to fluctuations in daily traffic.



9. Advertising statistics are provided as-is without any guarantees.



10. Loadboy.com shall not be liable for advertising statistics.



11. Advertiser agrees to indemnify and hold Loadboy.com harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by Loadboy.com, arising out of or related to advertiser's breach of any of the foregoing representations and warranties.



12. Advertiser Ownership
    1. Advertiser retains all right, title and interest (including copyright and other proprietary or intellectual property rights)
       1. in the content of the Online Ad
       2. Advertiser’s trade names
       3. trademarks and service marks therein and all legally protectable elements
       4. derivative works
       5. modifications and enhancements thereto, whether or not developed by the Advertiser or any contractor, subcontractor or agent for the Advertiser
